1. Acceptance of Terms and Conditions
Uni Express operates the Website, which acts as an interface between you and Uni Express, allowing you to: (i) ship parcels with Uni Express from Uni Express-designed pick-up areas to destinations within Canada designated by you within the Website; and (ii) manage your shipments and payments online through the Website (the “Services”). By using or accessing the Website, you acknowledge that you have read, understood and agreed to be bound by the following terms and conditions set out in this document (the “Terms and Conditions” or the “Agreement”). Except as otherwise specifically provided, none of the materials published by Uni Express may be downloaded, copied, reproduced, distributed, republished, displayed, posted or transmitted in any form and in any manner without Uni Express’s prior written approval. Permission is hereby granted for you to make a single copy of documents or materials published by Uni Express on this website solely for informational purposes and for non-commercial use within your organization, provided that you keep intact all copyright and other proprietary notices and legends. Uni Express does not authorize any other use of the information or materials provided.2. Currency
All monetary amounts referred to in this Agreement are to be understood as amounts in Canadian dollars.3. Website Use
If you are using the Website, you represent that you are at least 18 years old, legally authorized to enter into contractual obligations on behalf of your business, and you agree to use the Website in accordance with this Agreement.4. Term and Termination
Your account membership for the Services shall commence upon the date of registration of your account. By registering for an account with Uni Express (the “Uni Express Account”), you agree to provide accurate and current information about yourself as prompted by the Uni Express registration pages, and to maintain and promptly update your online profile information to keep it accurate and current. Uni Express Accounts will remain active unless we terminate it or you notify us by mail or e-mail (receipt of which must be confirmed by e-mail reply from us) of your decision to terminate your Uni Express Account. If you choose to terminate your Uni Express Account, your Uni Express Account will be terminated within thirty (30) days of you receiving a response from Uni Express. Uni Express reserves the right to terminate or suspend your use of the Website, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions. Upon termination, your rights to use the Services will cease immediately.5. Changes to Your Account
We may change the terms of this Agreement at any time without notice, including our pricing. You signify that you agree to be bound by such changes by using the Website after changes are made to the terms of this Agreement. You are responsible for verifying the currency of these Terms and Conditions, by referring to the Last Updated date, above.6. Your Account
By providing your registration data and other information about you when creating an account, you consent to the collection, use and disclosure of your personal information in accordance with our Privacy Policy. Your information may be stored and processed in Canada, and by creating a Uni Express Account, you consent to the transfer of information outside of Canada in jurisdictions where our affiliates and services providers are located, in accordance with our Privacy Policy. You agree that your use of the Website and account shall be in accordance with applicable law. For any portion of the Website that requires a user name and/or password, you are responsible for all use of your account (under any user name or password), including shipments and purchases made using your account, and for ensuring that all use of your account complies fully with the provisions of these Terms and Conditions. You are solely responsible for protecting the confidentiality of your user name(s) and password(s). You agree to notify us promptly if you change your address or e-mail address so we can continue to contact you and send any notices required hereunder. If you fail to notify us promptly of a change, then any notice we send to the address or e-mail that we have on file as your address or e-mail shall be deemed sufficient notice.7. Cargo Claims for Loss or Damage
Uni Express’s liability for loss of, damage to, or delay in delivery of any parcel is limited to the terms and conditions of this Agreement. In the event of loss of, or damage to, any parcel (“Cargo Claim”), whether or not the claim is the result of Uni Express’s acts or omissions including but not limited to gross negligence, negligence causing damage, loss of the shipment, damage to the shipment, theft of the shipment, improper packaging, improper handling or delay of the shipment even if Uni Express is advised in advance that such possibility exists, Uni Express shall only be liable for the lesser of: (i) the value of the lost or damaged goods at the time and place of shipment, including freight and other charges, if paid, and (ii) $100 per parcel, up to $5,000 in aggregate for all parcels shipped, except in the event that you have paid a supplemental fee in exchange for a higher limit of liability per parcel, in which case such higher limit of liability per parcel shall apply (subject to the aggregate limit of $5,000 for all parcels shipped). Such supplemental fee will be equal to 1% of your requested higher limit of liability. Under no circumstances may the higher limit of liability exceed the actual value of lost or damaged goods. Under no circumstances will Uni Express be liable for delay in delivery of any parcel, nor will Uni Express be considered an insurer of the goods or an insurance broker. In addition to all other exclusions from liability hereunder, under no circumstances will Uni Express be liable if such liability is excluded pursuant to Exhibit I to these Terms and Conditions. All claims must be made in accordance with the terms set out in Exhibit II. For purposes of the limitations of liability under this Section 7, banded boxes and pallets of boxes shall be treated as one single parcel.8. Fees and Payment for Services
You agree to immediately pay or pay upon such terms as are agreed between Uni Express and you, the related service fees and any other charges incurred in connection with your username and password for the Website (including any applicable taxes) at the rates in effect when the transaction was initiated. All accounts with Uni Express are due upon receipt unless otherwise stated in writing. The Website is free to access and transactions are performed through your Uni Express Account. You will be charged in advance per transaction and you hereby authorize Uni Express to process such charge, either through your credit card kept on file or by credits saved on your Uni Express Account. Uni Express reserves the right to change its pricing at any time, provided that the price of a particular transaction shall not change after payment for such transaction has been processed, except in the event of clerical error. Administrative charges may be levied for administration or account processing activities in connection with your Uni Express Account, including, without limitation, as a result of the following: collection efforts due to non-payment, returned or rejected payments. In the event that shipping costs of your package increase due to underreported package size or weight, Uni Express shall charge your credit card kept on file for this increased cost or otherwise deduct the amount of credits saved on your Uni Express Account, and you hereby authorize Uni Express to process such charges. It is your responsibility to ensure that your credit card has a sufficient balance to carry the costs of shipping your package. You acknowledge that, in the event that your credit card is declined, your shipment may not be processed and may be suspended, which may result in a delayed delivery time or cancellation of your shipment. In the event that your credit card is declined and you do not have enough credits stored on your Uni Express Account, Uni Express reserves the right to terminate your Uni Express Account without further notice. Upon cancellation of any shipment by Uni Express, Uni Express will use commercially reasonable efforts to refund the cost of the shipment minus any incurred administrative expenses to your credit card kept on file within ten (10) business days. You are required to bring any dispute that you may have with regard to billing to Uni Express’s attention no later than thirty (30) days after billing occurs. No billing disputes will be considered after this time, and you will be deemed to have irrevocably accepted the validity and quantum of all such bills.9. Accuracy of Information Provided
Uni Express is not responsible for information submitted by you on the Website. You are solely responsible for the accuracy of the information that is used in conjunction with your Uni Express Account and the Website. This includes, but is not limited to, information concerning the user and package criterion (destination, origination, type of service requested, weight, dimensions, content, etc.). You are solely liable for any variations in costs due to any discrepancies that arise as a result of inaccurate information being provided on the Website. Such discrepancies may result in situations including, but not limited to, increased costs of shipment due to inaccurate package weight, package dimensions, package contents or package value. Where such costs vary as a result of the inaccuracy of user-provided information, you acknowledge and agree that any increase in costs and any associated costs incurred by Uni Express or any third party in connection with the provision of inaccurate information shall be charged through your credit card kept on file or deducted from the amount of credits on your Uni Express Account.10. Prohibited Items
It is your responsibility to ensure the items that are being shipped are of legal content and substance. The shipment of the following items through the Website is strictly prohibited: dangerous goods as defined in the Transportation of Dangerous Goods Act, 1992 (Canada) and any equivalent provincial legislation, hazardous materials, perishable goods, alcohol, tobacco, cannabis, firearms, high value jewelry and other items of extraordinary value (in Uni Express’ sole discretion), prescription drugs and controlled substances, goods requiring temperature control, animals, currency, explosives, biological specimens, plants, antiques, ivory, precious metals, waste, items weighing more than 60 pounds, items with dimensions greater than three sides equaling 80 inches or such other limitations as stated on the website, and items otherwise prohibited by law from transportation or non-compliant with applicable laws. You hereby release and forever discharge Uni Express of any liability, including Cargo Claims, in connection with the delivery of any prohibited products. Except as specified in this Agreement, Uni Express is not responsible for the contents of any items that are being shipped. Users are solely responsible for the items they ship.11. Right of Inspection
Uni Express reserves the right to open and/or inspect any shipment tendered to it, at any time, without notice, and for any reason, but is not obliged to do so. Governmental authorities may also open and inspect any shipment at any time without notice.12. Packaging Requirements
It is your responsibility to ensure that all shipped goods are packaged in a safe and secure manner, that will withstand the usual rigours of transportation, and in accordance with any applicable laws. You acknowledge that you are familiar with any packaging requirements under applicable law for goods that you ship with Uni Express, including restricted goods.13. Refusal of Package or Service
Uni Express reserves the right to refuse any shipment, which, in its sole opinion, does not comply with these Terms and Conditions, or which may cause damage to, taint, contaminate or soil any equipment owned, leased or operated by Uni Express. Reasons for refusal include but are not limited to a shipment being improperly packaged, wrapped or labeled, or being a non-compliant restricted item or a prohibited item. Uni Express reserves the right to refuse and/or cancel Services or terminate the Uni Express Accounts of customers who exhibit aggressive or abusive behavior towards any staff or contractor of Uni Express. Upon cancellation of any shipment by Uni Express, Uni Express will use commercially reasonable efforts to refund the cost of the shipment minus any incurred administrative expenses to your credit card kept on file or return used credits to your Uni Express Account, in Uni Express’ sole discretion, within ten (10) business days.14. Insurance on Service
You agree to obtain, maintain and provide proof (upon Uni Express’s request from time to time) commercially adequate policies of insurance covering the shipment of your goods by Uni Express. Uni Express is not an insurer of the products, and its liability is limited under the Cargo Claims section of this Agreement.15. Returned Shipments
When using the Services, you agree to be solely responsible for the cost of returning any shipment refused by Uni Express or that cannot be delivered for any reason. You are also responsible for payment of any taxes or fees as applicable.16. Shipping Labels, Delivery and Tracking
You acknowledge that waybills created via Uni Express’s website for your package MUST be printed and attached to your package prior to shipping. Handwritten waybills are not permitted, and if used, will result in the rejection of the shipment by Uni Express. You are solely responsible for any costs, delays, inconveniences or losses incurred by you, Uni Express or any other third-party due to the use of handwritten waybills. It is your responsibility to ensure that your package, once ready for shipment, is dropped off at the correct Uni Express drop-off location. Uni Express shall not be responsible for missed or incorrect package drop-offs and any delay in package delivery that may result. Uni Express may not contact you if there are problems with your shipment. Therefore, you are solely responsible for tracking your package, for contacting Uni Express if a problem with shipping occurs and for correcting the problem. Notwithstanding the previous paragraph, in the event that a waybill containing incorrect information relating to the shipping address is created by you through the Website and Uni Express has to correspond with its drivers to correct the information, Uni Express shall charge an address correction fee which shall either be deducted from the credits saved to your Uni Express Account, or charged to your credit card kept on file, and you hereby authorize Uni Express to process such charge.17. Bill of Lading
You hereby agree to waive the requirement for a physical bill of lading and acknowledge that an electronic bill of lading (“BOL”) shall be deemed to have been issued in the appropriate form and content in accordance with the jurisdiction of origin of the shipment. Each BOL shall serve only as evidence of receipt of each shipment and shall not amend or modify the terms of this Agreement. No terms and condition, tariffs, rate sheets, bills of lading, or other documents issued shall amend, modify or supersede the terms of this Agreement.18. Interruption of Service
Uni Express shall not be held liable for any interruption of the Website caused by actions beyond Uni Express’s control. Uni Express does not guarantee that the Website, or any of its content, will always be available or uninterrupted, and will not be liable to you if, for any reason, the Website is unavailable at any time or for any period.19. Suspicious Shipments
If a package is deemed to be suspicious by Uni Express, its banking partners, its driver, or law enforcement, Uni Express will report this to the appropriate government authorities. Suspicious shipments will lead to your package being intercepted without return. Further action will be initiated by Uni Express with the proper authorities. You agree that intercepted items may be used to recover the cost and time associated with suspicious shipment. You agree to bear the costs of all Services despite the shipment not being delivered to the intended destination.20. Limitations on Use
Only one individual may access the Service at a time using the user name, password or account profile for your business, created on the Website, unless we agree otherwise. You agree that you will not use the Website to: (i) upload or transmit any communications or content of any type that may infringe or violate any rights of any Website user or Uni Express; (ii) use the Website for any purpose in violation of local, provincial, national or international laws; (iii) use the Website as a means to distribute advertising or other unsolicited material to any third-party; (iv) use the Website to post or transmit material that is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful or embarrassing to any other person or entity; (v) attempt to disable, “hack” or otherwise interfere with the proper functioning of the Website; and (vi) if you use any part of the Website requiring secure access, you are responsible for maintaining the confidentiality of your Uni Express Account username and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your Uni Express account username or password. Uni Express reserves the right to refuse service, restrict access, terminate accounts, and/or cancel shipments at our discretion, including, without limitation, if, in our opinion, your use of the Services may violate specific regulations, terms and/or agreements, any laws, regulations or rulings, infringe upon another person’s rights or violate the terms of the Terms and Conditions. In the event of fraud in relation to your account usage, Uni Express reserves the right to void the label and/or have the package returned to sender. In such cases, Uni Express has the right to send information concerning the fraud to concerned parties including but not limited to local authorities.21. Third Party Websites
Uni Express may provide hyperlinks or pointers to other websites maintained by third parties. Links to any such third party websites are provided for your convenience and information only. The content of any linked website is not under the control of Uni Express and should you decide to access any such website, you do so entirely at your own risk. Uni Express is not affiliated with any linked third party website, and neither offers, endorses, sponsors or authorizes any linked website or the content contained therein.22. Intellectual Property
All of our trademarks are protected by Canadian and/or United States law. Unauthorized use of our trademarks is strictly prohibited. All other trademarks, titles, content, company names, artwork, logos and associated imagery are trademarks and/or copyright material of their respective owners. All rights reserved. All Website design, text, layout, graphics and the selection and arrangement thereof is owned by us or our affiliates and all rights are reserved. You are authorized to view, download and print portions of the Website solely for your personal and non-commercial use or as we otherwise permit. Any other use of materials on this Website, including: (1) reproduction, except as authorized herein; (2) modifications; (3) distributions; (4) republication; (5) transmission; (6) re-transmissions; (7) or public showing, without our prior written permission, is strictly prohibited. You may not remove or obscure the copyright notice or other notices contained in information or products retrieved from the Website.23. Promotions
Any contests, sweepstakes or other promotions offered through the Website (“Promotions”) may be governed by rules that are separate from these Terms and Conditions. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms and Conditions, the Promotion rules will apply.24. Enforcement of Terms or Conditions
Any failure by us to enforce or apply a term or condition of this Agreement does not constitute a waiver of that term or condition, and does not otherwise prevent Uni Express from relying on such term or condition.25. Severability
If any provision of these terms is, for any reason, invalid and/or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to replace any invalid and/or unenforceable provision with a valid and/or enforceable provision which most closely approximates the intent of the invalid and/or unenforceable provision.26. Future Changes to Terms and Conditions
Uni Express reserves the right to unilaterally modify, amend, change or supplement the Terms and Conditions without notice to you. Only an executive officer of Uni Express may authorize a supplement to, or modification, change or amendment of, the Terms and Conditions. No other agent or employee of Uni Express, its affiliates or subsidiaries, nor any other person or party, is authorized to do so. Your continued use of the Website constitutes your acceptance of any changes to the Terms and Conditions and any changes will supersede all previous versions of the Terms and Conditions. All changes to the Terms and Conditions apply to all users, including those enrolled before the date the changes take effect.27. Disclaimers of Warranties
You agree that your access to, and use of, the Website and the content available through the Website is on an “as-is”, “where is”, “as available” basis and we specifically disclaim any representations or warranties, express or implied, including, without limitation, any representations or warranties of merchantability or fitness for a particular purpose. Your use of the Website and any information contained therein is used by you at your own risk. You hereby release, remise and forever discharge Uni Express and its subsidiaries, affiliates, and their respective directors, officers, employees, agents and sub-contractors (“Uni Express Parties”) for any Losses, including indirect, consequential, special, incidental, punitive or exemplary damages, including, without limitation, lost profits, lost savings and lost revenues (collectively the “Excluded Damages”), as a result of your access or use of the Website, whether or not characterized in negligence, tort, contract or other theory of liability, even if any of the Uni Express Parties have been advised of the possibility of or could have foreseen any of the Excluded Damages, and irrespective of any failure of an essential purpose of a limited remedy. If any applicable authority holds any portion of this section to be unenforceable, then the Uni Express Parties’ liability will be limited to the amount you paid for the Website.28. Indemnification
You shall indemnify, defend and hold harmless Uni Express Parties from and against all claims, action, liabilities, losses, injuries (including death), expenses, proceedings, investigations, fines, penalties, damages and costs (including reasonable legal fees and disbursements) (collectively, “Losses”) that may at any time be incurred by it or a third party by reason of: (i) your breach of these Terms and Conditions; (ii) your negligence or wilful misconduct; (iii) a computer virus or any other destructive feature resulting from your access to, use of or linkage with the Website, use of the Services; (iv) infringement, interference with contract or prospective economic advantage; and (v) the use of the goods shipped under these Terms and Conditions, save and except where and to the extent that a claim arises solely out of the negligent acts or omissions, or any wilful misconduct, by any Uni Express Parties. Neither you nor Uni Express will be liable under any circumstances for any consequential, indirect, special, exemplary, aggravated, or punitive damages of any kind arising out of or related to this Agreement including lost revenue, lost or damaged property or other commercial or economic loss, regardless of the basis on which the claimant is entitled to claim damages, even if the defendant in any claim for such damages knew, ought to have known or had been advised of the possibility of such damages, except as otherwise stated in these Terms and Conditions.29. Entire Agreement
This document will serve as the entire agreement governing the relationship between yourself and Uni Express. All other communications, whether verbal or in writing, are not to be considered, and do not form part of this Agreement. Agreeing to this Agreement by creating a Uni Express Account or using the Services renders all other negotiations and agreements between you and Uni Express null and void.30. Language
For Quebec residents: By shipping a parcel on the English version of the Website, you confirm that it is your express wish to be bound only by the English version of the Terms and Conditions and all related documents. A French version of the Terms and Conditions is available on the French version of the Website. Une version française des Modalités est disponible sur la version française du site Web.31. Jurisdiction
This Agreement shall in all respects be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein without reference to its conflict of laws principles. All claims or disputes arising out of or in relation to the subject matter covered hereby shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto.32. Electronic Communications
Uni Express will, from time to time, generate and send electronic communications (such as e-mails) to you containing information about Uni Express’s new and current services and products. By entering into this Agreement, you are consenting to receive such electronic communications from Uni Express at any electronic address that you provide.By clicking “Continue” or shipping any items with Uni Express, you are agreeing to be bound by and are becoming a party to this Agreement. If you do not agree to all of the Terms and Conditions of this Agreement, do not proceed with shipment.
Exhibit I — Exclusions from Liability
Uni Express shall have no liability in connection with the following:- Coins, bullion, loose diamonds or stones, jewelry, rock slabs, stocks, bonds, currency, deeds, evidence of debt, travelers checks, money orders, gift certificates, calling cards, lottery tickets, event tickets, or any other negotiable documents.
- Loss from delay, deterioration, spoilage or contamination of perishable merchandise.
- Merchandise shipped on consignment, memorandum or approval unless shipped in fulfillment of an order or request.
- Loss, damage, or non-arrival of any package or its contents which (a) is addressed, wrapped, or packed insufficiently, incorrectly, or contrary to carrier’s packaging requirements; or (b) bears a descriptive label or packaging which tends to describe the nature of contents.
- Damage which is exceedingly minor, frequently occurring, or caused by the nature of the product itself regardless of careful handling.
- Cosmetic damages limited to the packaging where the intended good is not damaged.
- Any package where the damage is deemed preventable had the shipment included the appropriate use of packing materials such as, but not limited to, packaging tape, bubble wrap, packing peanuts, crumpled paper, styrofoam, or mail rollers.
- Any package containing personal goods, gifts, samples, or promotional items.
- Any package shipped to (a) a prohibited country or any location that would be in violation of any U.S. economic or trade sanctions, including, without limitation, Office of Foreign Assets Control (OFAC) Restricted Countries or (b) any country or any location that would be in violation of applicable U.S. and/or carrier shipping restrictions related to COVID-19 or other disease-related outbreak, as may be updated from time to time.
- Loss or damage arising out of dishonesty on the part of the shipper or shipper’s employees.
- Loss or damage caused by or resulting from: (a) hostile or warlike action in time of peace or war, including action in hindering, combating or defending against an actual, impending or expected attack, by any government or sovereign power, military, naval or air forces, or an agent of such government or authority; (b) any weapon of war employing atomic fission or radioactive force whether in time of peace or war; (c) insurrection, rebellion, revolution, civil war, usurped power, or action taken by governmental authority in hindering, combating or defending against such an occurrence, seizure, or destruction under quarantine or Customs regulations, confiscation by order of any government or public authority or risks of contraband or illegal transportation of trade.
- Loss or damage caused by customs seizure, inspection, handling, or destruction.
- Any package containing goods prohibited or restricted from entering the intended country of delivery.
- Surcharges, including but not limited to: shipping costs, tariffs, seller fees, and processing fees.
Exhibit II — Claims Terms and Conditions
The following terms and conditions shall apply to claims relating to lost or damaged packages:- Uni Express will not be liable if lost or damaged packages are not reported to Uni Express within 15 days. Uni Express will not have any liability for claims which are covered by insurance.
- You will be required to submit: (a) a completed claim form as required by Uni Express; (b) a description of loss/damage sufficient to substantiate loss or stating the package had failed to be delivered; (c) photos displaying the damage to the product and packaging (if applicable); (d) any other evidence or documents required by Uni Express. You (or the parcel recipient) must hold damaged items in the event they are requested during claim processing and provide them on request. All damaged property for which payment (not repair cost) or replacement has been requested or made must, on request, be returned to Uni Express. Failure to retain damaged property may result in denial of claim.
- Uni Express shall not be liable for claims regarding loss where Uni Express tracking records indicate the shipment was delivered, unless evidence of such loss is provided to Uni Express that is reasonably satisfactory to Uni Express.
- Uni Express shall not be liable for claims regarding loss or damage where the shipment is signed for, unless evidence of such loss or damage is provided to Uni Express that is reasonably satisfactory to Uni Express.
- For claims regarding damage, Uni Express may require a repair quote to be issued and submitted to Uni Express for review. If the repair service is able to restore the item to its intended condition, Uni Express may choose to settle the claim for the value of the repair, rather than the full value of the item.
- For claims regarding theft, stolen property or misdelivery, Uni Express may require valid tangible documentation and/or evidence. Such valid documentation and/or evidence may include, without limitation: (i) written acknowledgement of such theft, stolen property or misdelivery from the respective carrier; (ii) video footage; (iii) police report; and/or (iv) other documentation and evidence. Uni Express will not accept any claims for theft, stolen property or misdelivery where there is a valid signature from the customer, or a customer representative, acknowledging receipt of a shipment.
- Uni Express may request additional documentation or information during the claim process.
- If a part of a pair or set is lost or damaged and Uni Express is liable, Uni Express will only pay a reasonable and fair portion of the total value of the pair or set and NOT the total value.
- You consent to the use and disclosure of your personal information for purposes of processing any claim under these Terms and Conditions and represent and warrant that you have obtained all required consents from any third party for whom personal information is provided.
